Incubation Guidelines

1. Preamble & Scope

India stands at a pivotal inflection point in its healthcare evolution, where the convergence of scale, policy momentum, and digital capability has created a unique opportunity to build one of the world’s most impactful healthcare innovation ecosystems.

To unlock the next phase of healthcare innovation in India, All India Institute of Medical Sciences, New Delhi has set – up the “Centre for Medical Innovation and Entrepreneurship” (CMIE – AIIMS, New Delhi), the AIIMS, New Delhi Bio-incubator with funding support from BIRAC and AIIMS, New Delhi, New Delhi. CMIE – AIIMS, New Delhi was set up with an aim to create an ecosystem of “Incubation of Medical Innovations for Entrepreneurship and Inclusive Development of Indian Health Care”. Embedded within a clinical setting, such an incubator would integrate research, patient access, real-world validation, and multidisciplinary expertise—enabling rapid prototyping, evidence generation, and faster translation of innovations into deployable solutions. As a convergence platform, the CMIE – AIIMS, New Delhi transforms fragmented innovation efforts into a coordinated pipeline of clinically validated, market-ready solutions—positioning India to move from incremental progress to globally competitive, system-level healthcare transformation.

This Policy governs incubation, mentorship, use of facilities, compliance, intellectual property, confidentiality, financial obligations, monitoring, graduation, and exit of incubatees at CMIE-AIIMS, New Delhi. This Policy shall be read with the:

    • Incubation/ Facility Usage Agreement; Collaborative Research Agreement (CRA); Non-Disclosure Agreement (NDA) of CMIE-AIIMS, New Delhi and
    • AIIMS IPR Policy 2017 and Faculty Entrepreneurship Policy 2026 of AIIMS, New Delhi and applicable institutional rules.

In case of inconsistency, the executed agreement and specific approval of the competent authority shall prevail.

2. Background

CMIE – AIIMS, New Delhi offers a high-impact, execution-driven solution to bridge the gap between discovery, clinical validation, and large-scale deployment. CMIE – AIIMS, New Delhi, seeks to capitalize on indigenous academic innovations in the healthcare sector by enabling Indian start-ups to leverage the mentorship and guidance of AIIMS, New Delhi clinical and non-clinical faculty/scientists, and also by addressing key bottlenecks by fostering clinician–technologist collaboration (expertise gap), streamlining regulatory navigation and ethics approvals (regulatory gap), channelling catalytic capital into deep-tech innovation (funding gap), and providing access to testing labs, clinical trial ecosystems, and hospital networks (infrastructure gap) at nominal payment structure.

CMIE-AIIMS, New Delhi operates at the critical innovation phase, transitioning proof-of-concept technologies into commercially viable healthcare products. Start-ups with government or non-government funding are incubated based on alignment with CMIE-AIIMS, New Delhi’s goal of transforming research into validated, market-ready products. In its selection of Start-ups to associate with, the CMIE – AIIMS, New Delhi prioritizes not only their potential for commercial impact, but also their potential social impact. The CMIE – AIIMS, New Delhi also enables faculty members and scientists of AIIMS, New Delhi to engage with outside talent to conduct translational research and build products to bring to the market.

CMIE – AIIMS, New Delhi encourages innovations in all wakes of healthcare with a preference for cutting-edge emerging technologies such as precision/molecular medicine, nanomedicine, regenerative medicine, biologics, robotics, AI-enabled medical devices, imaging, and applications of data science in medicine, including digital health. CMIE – AIIMS, New Delhi can utilize the advanced research infrastructure in AIIMS, New Delhi which includes the Central Core Research Facility (CCRF), Sophisticated Analytical Instrumentation Facility (SAIF), Central Animal Facility, the Centre of Excellences (COEs). The existing facilities of the preclinical and clinical trial will be a great opportunity for the incubates for seamless translation of their innovations from bench to bedside. With super specialty centres and departments in AIIMS, New Delhi, the incubatees of CMIE-AIIMS, New Delhi can access a large number of experts from diverse domains of health care and biomedical research as mentors guiding the innovators to develop interventions/products validating their Quality, Safety, Efficacy & Performance status, empowering indigenisation and “Make in India” program with global recognition.

A network is being developed with other leading Indian Institutions, Incubators and Industries for the development of emerging technology-based products according to the critical need of the country and global requirements. Entrepreneurial activity and business development initiatives will be spearheaded by experienced management and business development professionals, ensuring strategic planning and execution. CMIE – AIIMS, New Delhi provides a fully integrated incubation framework, including preclinical and clinical trials, ensuring that innovations progress through all necessary regulatory and developmental stages.

3. Aim & Objectives

The aim of CMIE-AIIMS, New Delhi is to create a structured ecosystem for the incubation of medical innovations that promote entrepreneurship, indigenous technology development, and inclusive healthcare impact.

    • To provide a platform for eligible start-ups and registered entities to translate healthcare innovations into validated, commercially viable products, processes or services.
    • To facilitate mentorship from AIIMS, New Delhi clinical, scientific, and technical experts for product need assessment, development, validation, safety, efficacy, and performance evaluation.
    • To enable regulated access, where approved, to AIIMS, New Delhi /CMIE-AIIMS, New Delhi infrastructure, including laboratories, preclinical and clinical research pathways, and relevant institutional expertise.
    • To support innovation-oriented training, regulatory preparedness, business development, IP management, networking, and industry-academia-clinical interactions.

4. Eligibility

Incubation at CMIE-AIIMS, New Delhi shall be available only to a registered legal entity (incorporated as Private limited company under Companies Act 2013 or registered as LLP under the Limited Liability Partnership Act 2008) preferably a DPIIT-recognised start-up with a focus on medical innovations at Technology Readiness Level (TRL) 3 and above.

Note: Applications by individual innovators may be considered only for preliminary discussion at CMIE-AIIMS, New Delhi discretion; however, execution of incubation documentation, facility access, and full incubation shall require a registered entity.

The innovation should be in healthcare, med-tech, diagnostics, digital health, medical biotechnology, therapeutics, assistive technology, public health, biomedical engineering, or allied areas aligned with AIIMS, New Delhi /CMIE-AIIMS, New Delhi priorities.

    • The technology should ordinarily be at Technology Readiness Level (TRL) 3 or above, indicating proof-of-concept or early validation.
    • The proposal should have an innovation/IP component, demonstrable healthcare relevance, technical feasibility, social/strategic impact, potential for validation, scalability, and commercialization.
    • The entity should have a competent core team with technical, clinical/scientific, regulatory, and business capability. At least one of the founder(s)/co-founders should be full-time committed to the execution of the project.
    • At least 51% of the shareholding and control of the applicant entity should be held by Indian citizens and/or eligible Indian promoters/entities. Foreign co-founders/ shareholders may be permitted which comply with Indian legal and regulatory norms regarding ownership and operations of start-ups in the healthcare sector.
    • The applicant must disclose funding status, executive involvement of promoters/ founders in other entities, existing IP/know-how, litigation or regulatory concerns, and the specific support expected from CMIE-AIIMS, New Delhi.
    • A founding member who is a minor must obtain the necessary permission and support from their parents or legal guardian to participate in entrepreneurial activities.
Proposals for incubation must meet the following key criteria:
    • The primary criteria for incubatees admission will be based on a well-defined, viable business plan centred around a technology innovation that is at or beyond the proof-of-concept stage (TRL 3 or higher), and with clear alignment to AIIMS, New Delhi’s research and development initiatives.
    • Innovation and Intellectual Property (IP): The project should demonstrate a novel technology with established proof of concept (TRL 3 or above), and a clear strategy for protecting intellectual property (IP). The project must present a clear pathway for further development, commercialization, and scalability.
    • Product Development and Validation: The technology should be in the prototype or preclinical validation stage, with a clear roadmap for further development, including regulatory strategy (e.g., CE Mark, FDA approval for med-tech). The innovation should show strong potential for clinical and/or market testing, supported by data or validation in relevant settings.
    • Healthcare Relevance and Impact: The innovation must be focused on addressing a critical unmet need in healthcare, with the potential for significant clinical impact or commercial viability. Innovations that have the potential to enhance patient outcomes or improve healthcare efficiency will be prioritized.
    • Team Capability and Commitment: The core team must demonstrate expertise in relevant technical and commercial domains, with proven execution ability. At least one founder must be full-time associated with the start-up, and the majority of the core team should be Indian citizens. Teams should have a blend of technical, regulatory, and business expertise to drive the development of the innovation.
    • Technical Feasibility and Commercial Viability: The proposal must present evidence of technical feasibility, and it must include a roadmap for scaling the innovation, including manufacturing, regulatory approvals, and market-entry strategy. The proposal should indicate how the innovation will evolve from the prototype or preclinical stage into a market-ready product.
    • Synergies with AIIMS, New Delhi: The start-up must demonstrate a clear connection to AIIMS, New Delhi’s research and clinical expertise, ensuring collaborative potential with AIIMS, New Delhi departments, labs, and resources.
    • Sustainability and Resource Potential: The innovation should include a business model and a funding strategy to support long-term growth and scaling. Proposals with strong potential for generating significant resources and visibility within the healthcare ecosystem will be prioritized.

5. Application, Mentor Alignment and Selection Process

Complete incubation applications shall be submitted through the CMIE-AIIMS, New Delhi website along with the prescribed application form, pitch deck, technology summary, team details, IP status, development stage, funding information, regulatory/commercialisation roadmap, and any other documents required by CMIE-AIIMS, New Delhi.

Note: Applications submitted via email will not be considered.

  • Receipt and Internal Review: The CMIE-AIIMS, New Delhi team shall conduct administrative and preliminary technical review for eligibility, healthcare relevance, innovation content, AIIMS, New Delhi synergy, funding status, and support requirement.
  • Mentor Synergy: Suitable AIIMS, New Delhi mentor(s), where available, may review the application for clinical/scientific alignment, contribution potential, and project feasibility. A proposal may be deferred or declined where appropriate mentor synergy or institutional fit is not established.
  • Screening Round: Shortlisted applicants shall be invited to present physically (preferably) or virtually, as decided, before the Screening/Selection Committee and prospective mentor(s).
  • Evaluation Parameters: Evaluation may include novelty, USP, problem-solution fit, market potential, clinical relevance, IP position, regulatory pathway, technology robustness, execution plan, traction, financial viability, team credentials, CMIE-AIIMS, New Delhi support required, and social/commercial impact.
  • Decision: CMIE-AIIMS, New Delhi shall have sole discretion to accept, reject, defer, suspend, or terminate any proposal. The decision of CMIE-AIIMS, New Delhi/competent authority shall be final, and CMIE-AIIMS, New Delhi shall not be bound to assign reasons for rejection.
  • Communication: Selection or rejection communication shall ordinarily be issued within 4 to 5 weeks after completion of the relevant review/screening process, subject to administrative requirements.
Selected applicants shall receive an offer/selection communication and shall attend an orientation meeting. CMIE-AIIMS, New Delhi shall thereafter share applicable agreements comprising of:
  • CMIE – AIIMS, New Delhi Incubation Agreement –
    • stating the incubation period
    • payment of incubation charges
    • Facility requirement and charges for utilisation of CMIE – AIIMS, New Delhi instrumentation facilities.
  • Agreement to abide by the rules and regulations of CMIE – AIIMS, New Delhi as stated in Collaborative Research Agreement –
    • Objectives of the collaboration
    • Scope of work and deliverables
    • Details of IP/know-how
    • royalty/benefit-sharing terms wherein the incubatee company agrees to pay CMIE – AIIMS a royalty on the net sales of any product developed with the support of CMIE, AIIMS, New Delhi. The royalty rate and duration will be negotiable between CMIE – AIIMS, New Delhi the respective mentor, and the incubatee company. The terms will be documented in the agreement, and the royalty payment shall be made based on the net sales, as defined, with payment terms and schedule mutually agreed upon.
    • agreement to acknowledge the assistance of CMIE – AIIMS, New Delhi and respective supporting Government agencies i.e. DST/BIRAC-DBT/MeitY/MSME/TDB etc. while publishing or presenting in any manner, its progress or its success as applicable.

6. Incubation Term, Facilities and Services

The initial incubation period shall ordinarily be between 6 months (minimum) and 24 months (maximum) from execution of the applicable incubation agreement. Extension may be granted for up to 12 months, or such period as approved by CMIE-AIIMS, New Delhi and aligned mentors, based on written request, project progress, compliance record, future potential, and availability of facilities. Extension requests should ordinarily be submitted at least one month before the expiry of the initial term.
  • Incubation shall involve mandatory physical incubation at CMIE-AIIMS, New Delhi at NCI – AIIMS Jhajjar Campus. The incubation can range from a 5 X 2.5ft wet laboratory table with an office desk and chair to a 6-membered dedicated cubicle. Access to the landing office/laboratory at AIIMS, New Delhi or any AIIMS, New Delhi facility shall be only as scheduled/approved by CMIE-AIIMS, New Delhi, usually limited to once a week. Incubatee shall comply with all applicable charges, permissions, safety requirements, and institutional procedures. The incubatee shall not use CMIE-AIIMS, New Delhi /AIIMS, New Delhi premises as its registered office or create any third-party right, sub-lease, licence, or charge over allotted space. Subject to approvals, availability and applicable charges, CMIE-AIIMS, New Delhi may provide meeting rooms, internet/common infrastructure.
  • Work conducted by the incubatee with a mentor or vice versa should be limited to the objectives as approved in the agreement. A new agreement will have to be signed by the incubatee for the initiation of a new project/work/collaboration with the mentor.
  • Incubatees are required to provide full and accurate disclosure of relevant business, technical, and financial information to CMIE–AIIMS, New Delhi, ensuring transparency in all decisions and actions that may impact the progress of the innovation.
  • The incubatee shall treat the CMIE-AIIMS, New Delhi premise with the utmost care and shall not engage in any unprofessional, illegal, or immoral that may disrupt the working culture, reduce or adversely affect the productivity of the said office or otherwise bring CMIE-AIIMS, New Delhi to disrepute in any manner. Incubatees are required to comply with all applicable legal, regulatory, and ethical standards related to their innovation, including intellectual property rights, clinical trials, and product commercialization.
  • Incubatees of CMIE-AIIMS, New Delhi will have the needful access to CCRF, SAIF, CAF (on chargeable basis), Centres of Excellence and departmental laboratories, preclinical/clinical validation pathways, business development support, pitch preparation, IP/regulatory/legal/financial expert connect, networking events and training/boot camps.

7. Mentorship and Project Governance

Each incubatee may be assigned one or more AIIMS, New Delhi mentor(s) according to project need and mentor availability. The mentor role shall be advisory and shall not constitute AIIMS, New Delhi endorsement, certification, product approval, regulatory approval, clinical validation, procurement recommendation, or guarantee of performance. Appointment as mentor shall not by itself approve any founder, promoter, board, shareholder, executive, or non-executive role; such engagement shall require separate disclosure and approval under applicable AIIMS, New Delhi policies.

  • All incubatee-mentor interactions shall be routed through, coordinated by, or kept in the knowledge of CMIE-AIIMS, New Delhi. Emails and formal communications should copy CMIE-AIIMS, New Delhi wherever applicable. Independent meetings, external use of mentor opinion, or communication without CMIE-AIIMS, New Delhi knowledge shall be treated as non-compliance.
  • Weekly mentor-incubatee interactions may be held subject to mentor availability and institutional duties. CMIE-AIIMS, New Delhi shall conduct bi-monthly review meetings with the incubatee and mentor to review progress, facility use, ethics/regulatory status, IP/know-how, pending actions, and compliance.
  • Mentorship shall remain within the approved project scope and shall not affect AIIMS, New Delhi patient care, teaching, research, or other institutional responsibilities. Mentor engagement shall remain within the permissible time and conflict framework of AIIMS, New Delhi policies.
  • Mentors shall not engage subordinate AIIMS, New Delhi staff or institutional resources for start-up work unless routed and approved through CMIE-AIIMS, New Delhi. Mentors shall recuse from institutional procurement, technical specification, purchase recommendation, clinical adoption, or institutional decision-making where conflict may arise.
  • There shall be no direct honorarium, consultancy fee, equity, shareholding, reimbursement, royalty, or other financial arrangement between the incubatee and AIIMS, New Delhi mentor/faculty. Any royalty/revenue share or approved financial benefit to a mentor/faculty shall be routed only through CMIE-AIIMS, New Delhi as per the CRA and institutional approvals.
  • All project-related expenses, including manpower, consumables, prototype development, testing, validation, facility/equipment usage, outsourcing, travel, logistics, and related costs, shall be borne solely by the incubatee unless otherwise agreed in writing.

8. Ethical, Regulatory, Facility, and Data Compliance

No human study, animal study, clinical validation, patient interaction, clinical data access, biological/clinical sample use, or biosafety-related work shall commence without prior approval from the relevant institutional committee(s) and CMIE-AIIMS, New Delhi. Applicable committees may include the Institutional Ethics Committee, Institutional Animal Ethics Committee, Biosafety Committee, and any other committee/ regulatory authority as required.

Incubatees shall independently comply with applicable laws and regulatory requirements, including those relating to medical devices, diagnostics, therapeutics, software as a medical device, clinical trials, biomedical research, biosafety, data protection, and hospital safety. Incubation at CMIE-AIIMS, New Delhi shall not be construed as a waiver of any statutory, regulatory, ethical, or licensing requirement.

Incubatees handling digital personal data, health data, patient records, images, biological data, or identifiable/anonymised datasets shall comply with the Digital Personal Data Protection Act, 2023, applicable rules, and institutional data governance requirements. Data access shall be based on approved purpose, minimum necessary access, security safeguards, consent/ethics approvals where applicable, retention/deletion controls, and restrictions on unauthorised sharing or third-party processing.

Incubatees shall use CMIE-AIIMS, New Delhi facilities only for approved project activities and shall comply with safety, biosafety, waste disposal, access control, equipment-use, and premises rules. Incubation/facility/instrumentation charges, security deposit, and other invoices shall be paid as per the executed agreement. Non-payment, misuse, unsafe conduct, or damage to reputation/property may result in suspension, termination, and recovery of dues/damages.

9. Intellectual Property, Know-how, Publications and Commercialisation

Intellectual property at CMIE-AIIMS, New Delhi has viewed under 2 categories:

  • Background IP: Including pre-existing IP, all rights, title and interest in or to any information, data, reports, documents, procedures, forecasts, technology, know-how, and inventions, including any patent, designs, copyrights, trademarks and any application for patent, designs, copyrights or trademarks, in India and anywhere else in the world, that are owned by or controlled by incubatee before execution of MoU with CMIE-AIIMS, New Delhi shall remain the property of such incubatee unless otherwise agreed in writing.
  • Project IP: IP that arises at CMIE-AIIMS, New Delhi during the incubation period following the execution of the agreement with CMIE-AIIMS, New Delhi, such as know-how, unpublished data, prototype, process, material, clinical insight, software, technology, or any other result generated during incubation, mentorship, collaborative research, or within the scope of the CRA. Unless otherwise agreed, the incubatee and CMIE-AIIMS, New Delhi will jointly own and seek protection for Project IP. Both incubatee and CMIE shall mutually agree the concerning the cost of filing, maintenance and commercial exploitation of project IP. Both parties agree to maintain the confidentiality of the Project IP until it is legally protected or disclosed publicly. Both the incubatee and CMIE-AIIMS, New Delhi will take necessary measures to prevent unauthorized access, use, or disclosure of the Project IP during the incubation period. In the case of commercialization of the Project IP, both parties shall negotiate in good faith to define the commercialization rights and revenue-sharing model. Any commercial gains from the exploitation of Project IP (e.g., through licensing, sale, or other means) shall be distributed according to mutually agreed terms. The project IP will stay valid even after the completion of the incubation term at CMIE-AIIMS, New Delhi.

No party shall unilaterally file, publish, disclose, license, assign, transfer, commercialise, or otherwise exploit Project IP/work results/CMIE-AIIMS, NEW DELHI-linked know-how in a manner that may compromise IP protection, confidentiality, institutional rights, or contractual obligations. Publications, presentations, public communications, and regulatory/investor disclosures referring to CMIE-AIIMS, New Delhi or AIIMS, New Delhi, mentors, results, or institutional contributions shall require prior written approval wherever applicable.

Where a product, service, process, technology, material, software, or other innovation is developed, validated, scaled, or commercially exploited with CMIE-AIIMS, New Delhi /AIIMS, New Delhi support, the incubatee shall pay royalty/revenue share/benefit share on net sales of commercialisation of that product/technology and income as recorded in the CRA. Royalty/benefit-sharing obligations shall be separate from project costs and facility/instrumentation charges.

10. Confidentiality, Branding, and Acknowledgement

CMIE-AIIMS, New Delhi’ applicants, incubatees, mentors, reviewers, and third-party experts shall maintain confidentiality of proprietary, technical, commercial, financial, research, clinical, institutional, and patient-related information received during evaluation or incubation. External reviewers/committee members may be required to execute confidentiality obligations before receiving confidential information. Applicants should mark confidential information appropriately; however, all sensitive information shall be handled with reasonable care even when not marked.

The confidentiality obligation shall survive rejection, completion, graduation, termination, or expiry of incubation. It shall not apply to information already in the public domain, independently developed without use of confidential information, lawfully received from a third party, or required to be disclosed under law/regulatory/judicial/governmental direction.

No incubatee shall use the AIIMS, New Delhi or CMIE-AIIMS, New Delhi name, logo, emblem, address, letterhead, institutional affiliation, photographs, mentor identity/opinion, clinical data, sample access, facility access, or project results for commercial promotion, fundraising, regulatory representation, media, website, pitch deck, product label, advertisement, or public communication without prior written approval. The AIIMS, New Delhi logo, however, cannot be used anywhere. Incubation shall not imply endorsement, validation, certification, procurement preference, or product approval by AIIMS, New Delhi /CMIE-AIIMS, New Delhi.

11. Reporting, Monitoring, and Material Changes

Incubatees shall submit periodic progress reports in the prescribed format at least once every four months, and more frequently if required by CMIE-AIIMS, New Delhi. The progress review may include technical development, milestones, regulatory/ethics status, IP/know-how, funding, commercialisation, facility use, financial dues, compliance, and mentor involvement.
CMIE-AIIMS, New Delhi may conduct monthly/as-required reviews, mandatory bi-monthly mentor-incubatee reviews, and annual/external expert assessments. The evaluation committee may include the Project Head, CMIE-AIIMS, New Delhi, Business Development Officer, Bio-Incubation Manager, assigned mentors, and experts from the Screening/Selection Committee or external experts.
The incubatee shall notify CMIE-AIIMS, New Delhi within 10 working days of any material change including changes in name, legal entity, ownership/shareholding pattern, directors/promoters/partners, key personnel, business/product profile, funding/investment, registered office, collaboration, acquisition, debt/equity arrangement, litigation, regulatory status, or other matter affecting the incubation project.

12. Exit, Graduation, and Termination

Incubation shall end on expiry of the approved term unless extended by CMIE-AIIMS, New Delhi. CMIE-AIIMS, New Delhi may also require graduation or exit where the incubatee reaches scale, no longer requires incubation support, fails to comply with obligations, or otherwise ceases to align with the objectives of CMIE-AIIMS, New Delhi. The MoU may also terminate forthwith on or prior to the term of the agreement under the following conditions:

  • By CMIE-AIIMS, New Delhi:
    • If any default in payment of incubation service charges or any financial fraud is committed by the incubatee, by giving advance notice of 7 working days.
    • Any violation of any statue, rules and regulations of CMIE/AIIMS, New Delhi or AIIMS, New Delhi or NCI – AIIMS, Jhajjar Campus by giving advance notice of 15 working days. Depending on the severity of the case, CMIE-AIIMS, New Delhi may/may not consider hearing the justification from the incubatee.
    • Underperformance or unviability of the business proposition: criteria for the same will be decided and applied by CMIE-AIIMS, New Delhi on a case-to-case basis.
    • Irresolvable disputes between promoters/ founders. CMIE-AIIMS, New Delhi will decide the position or point when disputes are deemed to be irresolvable.
    • Change in promoters’/ founders’ team without the concurrence of CMIE-AIIMS, New Delhi.
    • Any other reasons for which CMIE-AIIMS, New Delhi may find it necessary for the incubatee to leave, by giving a notice of one month.
  • By both parties:
    • By mutual written consent of the incubatee and CMIE – AIIMS, New Delhi by giving a notice of one month.
  • By the Incubatee:
    • By giving an advance of one month to CMIE-AIIMS, New Delhi in writing, and clearing all the dues as part of closing of agreement.
    • However, any IP generated within the incubation period at CMIE-AIIMS, New Delhi shall remain valid.
  • By graduation – Conditions for graduation:
    • Completion of 18-24 (as mentioned in their agreement) months from the date of execution of the MoU if no extension is provided by CMIE-AIIMS, New Delhi.
    • Incubatee’s team operating at CMIE-AIIMS, New Delhi crosses a headcount of 15 persons.
    • Raising substantial investment from angel investor/venture capital/any other investor – INR 3 crores or more.
    • When the annual revenues of the company exceeds Rs. 2 crores or when a company achieves a Profit Before Tax of Rs. 50 Lakhs.
    • When the company enters in an acquisition, merger or amalgamation deal or reorganisation deal resulting substantially a change in the profile of the company, its promoters, directors, shareholders, products, or business plans, or when a company plans for a public issue.

Note: Regardless matter what is said elsewhere, CMIE-AIIMS, New Delhi decision on an incubatee firm’s exit is final and cannot be contested by any incubatee company.

13. Conflict of Interest, Disclaimer, and General Provisions

All stakeholders, including CMIE-AIIMS, New Delhi members, employees, mentors, consultants, affiliates, incubatees, promoters, staff, service providers, and reviewers, shall disclose actual, potential, or perceived conflicts of interest at the earliest opportunity. Conflict may include financial, personal, professional, institutional, or decision-making interests that may compromise or appear to compromise impartiality.

CMIE-AIIMS, New Delhi may require recusal, reallocation of duties, modification/suspension/ termination of involvement, withdrawal of incubation support, referral to the competent authority, legal action, or constitution of an appropriate committee to resolve conflict, confidentiality, or compliance issues.

CMIE-AIIMS, New Delhi provides support in good faith to promote healthcare innovation and entrepreneurship. Incubation shall not constitute a guarantee of success, marketability, regulatory approval, clinical adoption, investment, procurement, consultant performance, or satisfaction with services. Incubatees shall exercise independent judgment and shall remain responsible for their business, technical, legal, regulatory, ethical, data, and commercial decisions.

This Policy may be amended, supplemented, or withdrawn by AIIMS, New Delhi /CMIE-AIIMS, New Delhi from time to time. The decision of CMIE-AIIMS, New Delhi/competent authority in matters of admission, incubation, monitoring, extension, graduation, exit, and policy interpretation shall be final. Disputes shall be governed by the executed agreements and applicable laws, with jurisdiction as specified therein, ordinarily in New Delhi, India.
